Corporate Law and Economics
Examines how economic theory illuminates the structure and function of corporate law. Topics include the corporate form and agency problems, fiduciary duties, executive compensation, shareholder voting and investor activism, takeovers, and corporate social responsibility. Taught at the University of Basel Summer School in Law and Economics.
This course is an introduction to the federal securities laws. We will examine the disclosure obligations that attend the public offering and trading of securities. In addition to the details of these disclosure obligations and exemptions thereto, topics covered will include securities fraud and insider trading law.
Economic Analysis of Public Law
Explores how economic reasoning can inform the design and evaluation of public law and regulatory policy. Topics include market failures, taxation and redistribution, cost-benefit analysis, environmental regulation, and climate change policy.
